By booking a speaker, you are entering a legally binding contract and our terms and conditions take precedence over those of any other organisation in every case.

Views expressed by speakers are their own. Don’t Panic Projects Ltd disclaim any liability for any advice given, or views expressed, by any speaker at the event or in any documentation provided to delegates.

Payment of Fees

We will raise an invoice for the full speaker fee upon completion of the event, please note this payment is due within seven days on receipt of the invoice.

Non-availability of Speaker

Don’t Panic enter into a contract with the Speaker in good faith but should the speaker be unable to fulfil the engagement for reasons of illness or ‘force majeure’ or for other reasons beyond Don’t Panic’s control (such as by way of example only, an offer of or an existing contract relating to a TV engagement we may be able to offer a replacement speaker.

“Force Majeure” means (without limitation) war, or threat of war, riot, civil strife, industrial dispute, transport delay or adverse weather conditions.

Alternative Speaker

If we cannot obtain the services of the chosen Speaker, Don’t Panic will offer you a replacement, and you can either accept or reject any replacement offered. If you do accept a replacement Speaker you must confirm this to us in writing and any booking consequently made by us will be on these terms and conditions.

Cancellation

(a) If you wish to cancel your booking you must send a Notice of Cancellation by email and call Don’t Panic to confirm receipt. Any cancellation will take effect on the day we receive your written instruction. (b) If you fail to make payment to us in accordance with these terms and conditions, we may regard this as a cancellation by you. (c) If, after the Speaker has confirmed acceptance of the booking, you cancel the booking, or the event for which the Speaker is booked is cancelled for any reason including Force Majeure, you will be liable to pay Don’t Panic a charge to compensate for any losses and expenses incurred as a result of the cancellation. The nearer the cancellation date is to the engagement date, the greater the charge will be. The sums payable is:

Time before engagement date Cancellation charge (as a % of total booking fee)

More than 45 days – 50%

30 – 45 days – 75%

1 – 30 days – 100%

Expenses

If the particulars of engagement specify that you are liable to pay or reimburse any costs or expenses to the Speaker (whether this be travel, accommodation or other expenses), Don’t Panic reserve the right to invoice you for this on payment terms of seven days.

Interest

If the agreed fee is not paid in full on the due date, and if any other payments are not made when due, we can (without prejudice to any other rights we may have under this Agreement) charge interest at the rate of 3% per annum above Lloyds Bank Base Rate and such interest will be calculated on the outstanding balance. This interest will continue to run both before and after any Judgment we may obtain in a Court. You will also be liable for any legal costs and expenses that we incur on an indemnity basis.

Copyright

All copyright and other intellectual property rights relating to the Speaker’s performance and any material used by the Speaker during the performance remain vested in the Speaker. No electronic or other recordings (to include video audio or photography) of the Speaker’s performance can be made without our prior consent. Where consent for recording is given copies of such recording must be supplied to Don’t Panic immediately after the engagement. – Permission for filming has been granted in relation to this event.

Technical Facilities

Technical facilities (other than those itemised in the particulars of the engagement) must be of a professional standard, including sound, lighting, staging and where appropriate projection equipment and operators.

The Venue / Insurance

You will ensure that the venue for the performance has adequate heating, lighting and ventilation and complies with all health and safety, licensing and public entertainment legislation and that all necessary licenses are held or obtained. You have the responsibility to take out and maintain adequate public liability insurance and we reserve the right to request sight of any policy at any time prior to the engagement. Failure to have insurance may be regarded by us as a cancellation by you giving rise to the consequences set out in the cancellation policy above. You must also provide all technical and stage accessories that may be necessary to enable the Speaker to carry out the performance.

Our Liability

We accept responsibility for the death, bodily injury or illness caused to you, your employees or agents, as a result of the proven negligent acts and/or omissions by us, our employees and agents while acting in scope or in the course of their employment. Except as in paragraphs (a) and (b) below we accept responsibility for any loss or damage caused to you as a result of any failure by us to perform, or improper performance of, the service we have agreed to provide for you. We will not be responsible to you where such failure is not due to our fault or that of our employees or agents because: –

(a) such failure is attributable to you or any person, firm or company attending the performance

(b) such failure is due to unusual and unforeseeable circumstances beyond our control, the

consequences of which could not have been avoided even if all due care had been exercised or to an event which we or the Speaker, even with all due care, could not foresee or forestall. Such circumstances or event (include without limitation) war or threat of war, riot, civil strife, industrial dispute, transport delay or adverse weather conditions.

Limitations on our Liability

(a) Our liability to you for the non-performance or improper performance of any obligations we may have is limited to the amount you have paid Don’t Panic for the booking.

(b) We do not accept liability for any claim (other than claims for personal injury arising from the non-performance or improper performance of any obligations) in Contract, tort (including negligence) or otherwise for consequential, economic or indirect loss or damage.

Choice of Speaker

(a) You acknowledge and agree that you have selected the Speaker or (in the circumstances set out above) any replacement Speaker.

(b) Where you require a Speaker to perform to a particular brief, and the Speaker agrees, you are advised to provide notes and guidance for them. If you do not do this, the Speaker will deliver the performance as he or she thinks appropriate and you will have no complaint in respect of the Speaker’s choice of material.

(c) Where you do supply notes and guidance you warrant that such material is clear and intelligible and is not subject to any copyright or other intellectual property restriction. You agree to indemnify Don’t Panic or the Speaker against any claim whether for damages, costs or otherwise which may be caused as a result of any such material.

(d) Whilst Don’t Panic will give the Speaker any material you supply; we cannot accept responsibility for any deviation from that material by the Speaker

(e) Don’t Panic cannot accept responsibility if the Speaker does not carry out the performance in a manner which is satisfactory.

Applicable Law / V.A.T.

(a) This Agreement shall be governed by and construed in accordance with the laws of England and the parties to this Agreement agree to submit to the jurisdiction of the English courts.

(b) All sums mentioned in the Booking Form and the Terms and Conditions are exclusive of any Value Added Tax that may be payable.
